The questions founders ask us most

How much can we raise under Reg CF?
Under Regulation Crowdfunding, you can raise up to $5 million in any rolling 12-month period. Most companies run their raise well within that ceiling and come back for a second round later.
What financials do I need to provide?
It scales with how much you raise. Up to $124,000, your principal officer can self-certify. Between $124,000 and $1.235M, you'll need a review by an independent CPA. Above $1.235M, an independent audit is required. We'll tell you exactly which tier you're in before you spend a dollar.
What is the Form C, and do you handle it?
The Form C is the offering disclosure you file with the SEC before your raise goes live. Yes, we handle it. We draft it from the information we gather with your team, send it back for your review, and once you approve, we file it with the SEC on your behalf. Amendments are included at no extra cost.
Is the custom raise page really at no additional cost?
Yes, always. Whether you want a clean template or a fully custom-designed page, there's no extra charge, ever. Other platforms routinely charge $10,000 to $20,000 for this. See a live example: invest.highlander.ai/dirtydill.
How long does onboarding take?
Plan for roughly three to five weeks from start to live: due diligence (2–3 days), your custom raise page (1–2 weeks), and the SEC filing (1–2 weeks). We run these in parallel where we can to keep things moving.
How long do campaigns usually last?
Most campaigns run three to six months, and some go up to a year. The right length depends on your goal, your audience, and the momentum you build along the way. We'll help you set a timeline that fits your raise.
Once I set an end date, is it final?
No. If you want more time, we file a Form C amendment to extend your campaign, on your behalf, at no additional cost. Your end date is a plan, not a deadline you're stuck with.
Do companies run additional marketing? What if we have no experience?
Many do, and it matters. Momentum is everything in a raise, and momentum comes from visibility. You can work with a marketing firm of your choosing, tap one of our trusted marketing partners, or run it in house. Marketing a raise usually involves email marketing, building and nurturing your community ahead of launch, digital advertising on Meta and Google once you're live, and press or newsletter placements. No experience required, we'll point you in the right direction.
What is an SPV, and do we need one?
An SPV (Special Purpose Vehicle) is a separate LLC that investors invest "through." Mechanically, investors put money into the SPV, and the SPV invests the combined total into your company. The result: your cap table shows one line (the SPV entity) instead of many, while investors keep the same exposure. Worth knowing: an SPV doesn't make investors disappear, they still need to be managed, which is why SPVs have become less common lately. Whether one makes sense depends on your future fundraising plans, and it's a good conversation to have. We offer SPV setup as a separate service package.
What types of securities can we offer?
On Highlander you can offer equity, SAFEs, debt, or convertible notes. We'll help you think through which structure fits your stage and your goals.
Can we access funds during the campaign?
Yes. You can disburse funds multiple times during your raise once two conditions are met: your campaign has been live for at least 21 days, and you've passed your minimum funding goal in cleared funds and card commitments. After that, you can collect capital as it comes in.
